Affiliate Program Terms

Introduction

These Affiliate Program Terms ("Agreement") govern the conditions of the affiliate programme operated in connection with the online English-language education platform ("Platform") at www.nona.academy, run by Sefa KIRLI under the trade name Nona Academy.

By applying to the programme or creating an account through GoAffPro, you represent that you have read, understood, and agreed to all provisions of this Agreement. If you do not accept these terms, please refrain from participating in the programme.

Article 1 — Definitions

"Nona Academy": The online English-language education platform operated by Sefa KIRLI under the trade name Nona Academy.

"Affiliate": An influencer, content creator, blogger, or website owner accepted into the Programme and party to this Agreement.

"Programme": The Nona Academy Affiliate Programme operated via the GoAffPro platform.

"Coupon Code": A unique code assigned to the Affiliate through which their followers receive a 10% discount on Nona Academy purchases.

"Qualifying Sale": A completed sale transaction resulting from the use of the Affiliate's Coupon Code that has not been refunded or cancelled and for which payment has been received in full by Nona Academy.

"Commission": The cash amount payable to the Affiliate in respect of a Qualifying Sale.

"GoAffPro": The third-party affiliate management platform providing the technical infrastructure for the Programme.

"VAT": Value Added Tax (KDV). All prices on the Platform are VAT-inclusive at a rate of 20%.

Article 2 — Programme Participation

2.1 Application

Individuals wishing to join the Programme may apply via the application form on the Platform or through the GoAffPro system. Nona Academy evaluates applications at its sole discretion and may accept or decline any application without providing a reason.

2.2 Eligibility Criteria

The following conditions are expected to be met for acceptance into the Programme:

Be at least 18 years of age,
Own an active social media account, blog, or website with original content,
Demonstrate a content profile consistent with Nona Academy's values and brand identity,
Be resident in Türkiye or produce content directed at the Turkish market.

2.3 Account Security

The Affiliate is responsible for maintaining the confidentiality of their GoAffPro account credentials. The Affiliate is liable for all activity conducted through their account.

Article 3 — Coupon Code and Discount Mechanism

3.1 Coupon Code Assignment

Each accepted Affiliate is assigned a unique Coupon Code via the GoAffPro system. The Coupon Code may only be used by the relevant Affiliate; it may not be transferred to or sold to any third party.

3.2 Discount Rate

Purchases made using the Coupon Code entitle the customer to a 10% discount. This discount is absorbed by Nona Academy and does not result in any deduction from the Affiliate's Commission calculation.

3.3 Non-Stacking of Discounts

The Coupon Code discount may not be combined with the 3-month upfront (10%) or 6-month upfront (20%) subscription discounts. Where more than one discount condition is simultaneously met, only the highest applicable discount will apply.

Article 4 — Commission

4.1 Commission Rate

The Affiliate earns a Commission of 10% on the VAT-inclusive gross amount of each Qualifying Sale.

4.2 Commission Payment Model — Earned-as-Retained

Commission is paid in equal monthly instalments over the duration of the student's active subscription. The total Commission amount is divided by the plan duration to determine a monthly instalment. At the close of each month, provided the student remains active, that month's instalment is paid to the Affiliate.

Under this model, no Commission is ever reclaimed from the Affiliate. If the student cancels early, payment of the remaining instalments ceases; instalments already paid are retained by the Affiliate.

4.3 Commission Calculation Examples

Amounts are approximate and subject to the applicable price schedule.

4.4 Earning of Commission

Each monthly instalment is earned where all of the following conditions are satisfied:

a) The sale was completed using the Affiliate's Coupon Code, b) Payment has been confirmed by the payment service provider, c) The relevant calendar month has closed, d) The student has maintained an active subscription throughout that month.

4.5 Cancellation and Refunds

Where a student cancels or requests a refund:

Monthly instalments already paid to the Affiliate are retained; no clawback will be made under any circumstances.
Unpaid future instalments cease upon cancellation.
Nona Academy will never seek repayment of Commission from the Affiliate.

Article 5 — Payment

5.1 Payment Threshold

Monthly payment will only be made where the Affiliate's total earned Commission instalments for the relevant month equal or exceed ₺2,000 (two thousand Turkish Lira). Amounts below this threshold are not forfeited; they are carried forward to the following payment period.

5.2 Payment Schedule

Commission instalments exceeding the threshold will be paid by the 15th (fifteenth) business day of the month following the close of the relevant month.

5.3 Payment Method

Payments are made by bank transfer (EFT/SWIFT) to the bank account registered by the Affiliate in the GoAffPro system. International transfer charges are borne by the Affiliate.

5.4 Tax Obligations

The Affiliate is solely responsible for all taxes, duties, and legal obligations arising from Commission payments. Nona Academy reserves the right to apply withholding tax deductions where required by applicable legislation.

Article 6 — Affiliate Obligations

6.1 Content Standards

The Affiliate is responsible for ensuring that all content produced in connection with Nona Academy complies with the following requirements:

Content must be honest, accurate, and non-misleading.
Paid partnerships or affiliate links must be clearly disclosed to followers in compliance with applicable advertising regulations, including those of the Advertising Board (Reklam Kurulu) and the Radio and Television Supreme Council (RTÜK).
Prior written approval must be obtained before using Nona Academy's brand name, logo, or visual assets.
Content must be consistent with Nona Academy's current service offering and pricing; outdated information must not be shared.

6.2 Prohibited Activities

The Affiliate must not engage in any of the following:

Attempting to generate Qualifying Sales through fraudulent or deceptive means, including self-referral purchases,
Distributing the Coupon Code on unauthorised platforms, coupon aggregator sites, or mass distribution channels,
Making offers, promotions, or guarantees on behalf of Nona Academy without prior written approval,
Producing misleading, defamatory, or competitor-disparaging content,
Using automation tools, bots, or artificial traffic-generation methods.

6.3 Independent Contractor Status

The Affiliate is not an employee, agent, or partner of Nona Academy. The Affiliate may not enter into any obligation or commitment on behalf of Nona Academy with respect to any third party.

Article 7 — Intellectual Property

Nona Academy retains all intellectual property rights in its brand, logo, visual identity, and content. The licence granted to the Affiliate under this Agreement is limited, non-exclusive, non-transferable, and valid solely for the purposes of the Programme. This licence terminates automatically upon the expiry or termination of this Agreement.

Article 8 — Term and Termination

8.1 Term

This Agreement enters into force on the date the Affiliate is accepted into the Programme and remains in effect for an indefinite period.

8.2 Termination by the Affiliate

The Affiliate may terminate this Agreement at any time via the GoAffPro system or by written notice to hello@nona.academy. Commissions that have been earned and have exceeded the payment threshold prior to the termination notice will be paid within 30 (thirty) days of receipt of the notice.

8.3 Termination by Nona Academy

Nona Academy may terminate this Agreement with immediate effect in the following circumstances:

a) Breach of any provision of this Agreement, b) Detection of fraudulent or deceptive activity, c) Production of content damaging to Nona Academy's reputation, d) Complete discontinuation of the Programme (in which case 30 days' prior notice will be given to all Affiliates).

In the event of termination for cause, unearned Commissions attributable to the period in which the breach occurred may be forfeited.

Article 9 — Confidentiality

The Affiliate agrees to keep confidential and not to disclose to any third party any information learned in connection with the Programme, including Commission rates, platform data, and business strategy. This obligation remains in effect for 2 (two) years following the expiry or termination of this Agreement.

Article 10 — Limitation of Liability

Nona Academy's total liability under this Agreement shall not exceed the total Commission actually paid to the Affiliate in the 3 (three) months immediately preceding the event giving rise to liability. Nona Academy does not guarantee the uninterrupted operation of the GoAffPro platform and shall not be held liable for disruptions attributable to third-party platforms.

Article 11 — Amendments

Nona Academy reserves the right to update this Agreement and the Programme terms, including Commission rates, at any time. Changes will be communicated to the Affiliate's registered email address and will take effect 15 (fifteen) days after the date of notification. Continued participation in the Programme after the effective date constitutes acceptance of the changes.

Article 12 — Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Republic of Türkiye. The courts and enforcement offices of İzmir shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement.
